A RESOLUTION OF THE CITY OF WEST PLAINS AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH OZARKS COMMUNITY TELEVISION (OCTV) FOR PUBLIC RELATIONS SERVICES.

 

BE IT RESOLVED BY THE COUNCIL OF THE CITY OF WEST PLAINS, MISSOURI AS FOLLOWS:

 

            Section 1: The Mayor and City Clerk are hereby authorized and directed to execute an agreement with Ozarks Community Television (OCTV) under the direction of the Media Arts Center, Inc. for public relations in the form of televising meetings and specified city functions as requested by the City.

 

            Section 2: The agreement shall be substantially the same in form and content as that agreement attached hereto as Exhibit A.

 

            Section 3: This Resolution shall be in full force and effect from and after the date of its passage and approval.

SERVICE CONTRACT

 

            This Agreement, entered into this 22nd day of April, 2002 by and between the City of West Plains, Missouri, a municipal corporation, acting by and through its Mayor, hereinafter referred to as “City” and the Ozarks Community Television (OCTV) under the direction of the Media Arts Center, Inc. existing under the General Not for Profit Corporation Act of Missouri, hereinafter referred to as “OCTV”.

 

            WHEREAS, City desires to continue to promote the wide availability of public information to the citizens of West Plains; and

 

            WHEREAS, OCTV was formed for the purpose of disseminating public information by television; and

 

            WHEREAS, it is in the best interest of the City to utilize the services of OCTV as a public relations tool for the performance of said functions and services, for which reason the City desires to engage and OCTV desires to be engaged, for the performance of said functions and services.

 

            NOW, THEREFORE, THE PARTIES HERE TO DO MUTUALLY AGREE THAT:

 

1.                  OCTV shall perform functions and services including, but not limited to:

 

a.                   Televising all regular meetings, special meetings and work study sessions for city council, planning commission, park board, and board of adjustment.

b.                  Televising informational shows or other meetings as agreed upon by the City and OCTV on an individual basis.

2.                  OCTV shall submit to the Mayor, City Council, and City Administrator a monthly invoice detailing all charges for televising city functions.

3.                  The services covered under this agreement of OCTV are to commence upon the first day of April 2002, and shall be for a period expiring March 31, 2003.

4.                  The City agrees to pay OCTV for services to be rendered hereunder the sum of fifty dollars ($50.00) per hour for actual filming time.  City also agrees to pay OCTV the sum of twenty-five dollars ($25.00) for each meeting televised to cover set up and editing costs.  This is to be paid by the 15th of the month following services provided an invoice is issued to the City.

5.                  Either party may terminate this contract with just cause.  In the event of termination, all moneys due and owing shall be paid immediately.

 

 

6.                  The execution of the contract by the Mayor and the City of West Plains and the approval thereof by the City Council of West Plains is not intended to and does not in any manner make OCTV an agent, agency, or servant of the City of West Plains, Missouri, it being expressly understood that OCTV is in all respects an independent contractor, and the only liability of City created by and terms of this contract is the obligation to pay OCTV for service rendered.

7.                  This contract shall become effective upon execution by the parties herein and authorization or confirmation by ordinance of the City Council of West Plains, Missouri.
